1.   TERMS AND CONDITIONS

A.     ACCEPTANCE AND CANCELLATION OF ORDERS

The client is entitled to rescind the contract if the entire performance is made impossible before passing of a risk. The same applies to our inability. The client is also entitled to rescind the contract if it is impossible to, in the event of an order of similar items, provide the precise number for a part of the delivery, and he has a justified interest in rejecting a partial delivery: if this is not the case, he client is entitled to reduce the counter-performance accordingly.

Should this impossibility occur during the delay in acceptance or be caused by the client, the client remains obliged to counter-performance.

As long as they are legally permissible, exclusions are all other more extensive claims made by the client, especially with regard to change, cancellation or reduction and to the replacement of damage, of whatever type, even of that damage which didn’t arise to the delivery item itself.

Orders may not be canceled or rescheduled after the order has been submitted by SINBON to the shipment carrier. Client requests to reschedule are subject to acceptance by SINBON in its sole discretion.

B.     RETURNS

1) SINBON will accept returns when completed within 30 days of the ship date. 

2) Return freight charges must be prepaid by client once SINBON agrees to accept a return. SINBON will not accept COD shipments.

3) The client must send the product in the original packaging and in resalable condition.

4) Products returned solely due to client error may be subject to a restocking/handling charge. 

C.     PRICES

The quoted prices are net, excluding VAT, ex works, excluding postage and packaging charges, binding for the next three months (Prices of the products are exclusive of Sales Tax and freight fee. Prices are subject to change without notice). Exceptions are special regulations made in writing in offers or agreements. After this time, we are entitled to carry out an adjustment in accordance with the given cost situation.

D.    TERMS OF PAYMENT

1) All payments are to be made within 30 business days of the date on the invoice, net, to the account given. Orders will be canceled after 30 business days if funds have not been received. The assertion of further damage caused by default is not excluded by this.

2) Payment must be done over our webshop using Credit cards (Visa & MasterCard) and PayPal. Credit Card billing information must be verified on new clients prior to shipment of order.

3) Withholding payments or setting them against any counterclaims by the client disputed by us and not legally valid, are not allowed.

4) We only accept bills of exchange and cheques in the case of special agreements and only on account of payment. The client is responsible for all costs associated with the bills of exchange and cheques. We are not liable for the punctuality of the protest.

E. SALES TAX

1) Prices of the products on our webpage do not include any federal, state or local taxes, or any other taxes or charges imposed by any government authority, including, without limitation, sales, use, excise, value-added or similar taxes.

2) These taxes are in addition to the purchase price of the products subject to an order.

3) Orders are accepted with the understanding that such taxes and charges shall be added, as required by law.

4) SINBON charges sales tax unless you have a valid sales tax exemption certificate on file with SINBON. SINBON will not refund tax amounts collected in the event a valid sales tax certificate is not provided. 

F.     WARRANTY

For defects to the delivery, including the absence of expressly guaranteed properties, we are liable (excluding all further claims) for improving or supplying free of charge at our discretion all those parts which, within six months (90 days) of the passage of risk, prove to be of no use or not inconsiderably impaired as the result of a circumstance before passage of risk, in particular due to imperfect construction, poor raw materials or defective workmanship.

G.    RoHS COMPLIANCE AND LEAD-FREE POLICY

All of our products are RoHS Compliant or Lead Free.

H.    FORCE MAJEURE

SINBON will not be liable for delays in delivery or for failure to perform its obligations due to causes beyond its reasonable control including, but not limited to, product allocations, material shortages, labor disputes, transportation delays, unforeseen circumstances, acts of God, acts or omissions of other parties, acts or omissions of civil or military authorities, Government priorities, fires, strikes, floods, severe weather conditions, computer interruptions, terrorism, epidemics, quarantine restrictions, riots or war. SINBON's time for delivery or performance will be extended by the period of such delay or SINBON may, at its option, cancel any order or remaining part thereof, without liability by giving notice to Client.
